Compliance: WilliamsGautier assists clients in handling a wide range of compliance issues, including proposed and existing contracts and matters triggered by such contracts (e.g., confidentiality requirements of the Gramm-Leach-Bliley Act, FACTA), vendor management and relations, examiner issues, NCUA, CFPB, TCPA, OFAC and other state and federal regulatory requirements.

Legal Audits: WilliamsGautier provides clients with preventative legal services. These include a “legal audit,” in which we review documents, policies and procedures related to loans, accounts, employment and other operational areas for compliance with applicable laws and regulations. The legal audit not only describes compliance problems, but also provides recommended solutions to such problems. Unlike an audit performed by an accounting firm, a legal audit is protected from review by examiners and third parties by the attorney-client privilege. Our preventive services also include on-site training at client offices on compliance-related subjects.

Institutional Matters: WilliamsGautier has spent more than thirty years advising credit unions and providing representation in issues related to board governance, credit union foundations, strategic planning, mergers, executive/employee hiring-related matters and compensation.

Lending/Participations: WilliamsGautier provides legal services and regulatory guidance in direct lending, indirect lending, residential mortgage lending and mobile platforms, as well as loan participations, the secondary market and the sale/purchase of whole loans.

MBL’s/CUSO’s:, WilliamsGautier has significant experience in all areas of Member Business Lending (MBL’s), including program strategies, processes, documentation and closing loans/deals (including the issuance of title insurance in real estate matters). From assisting in the preparation of the loan commitment to serving as the actual closing agent for the loan/deal, our attorneys can and do close transactions wherever the CU/borrower is located, utilizing technology and collaboration to maximize member-experience/satisfaction. The firm has also assisted in the planning, formation and operation of many CUSO’s (including assistance in identifying partners) in areas ranging from technology-focused, to indirect, MBL and micro-lending.
